VUNK Collaboration Conditions
1. GENERAL PROVISIONS
1.1. Telia Eesti AS (“Telia”) is organising a “VUNK” collaboration programme (“VUNK Collaboration”) on order to support the implementation of innovative IT ideas (“Idea”).
1.2. The VUNK Collaboration is organised through a specially created website: http://vunk.eu/, where detailed information is published concerning the VUNK Collaboration and those participating in it (including deadlines).
1.3. The VUNK Collaboration will be public, meaning that those teams who wish to participate in the VUNK Collaboration (“Startups”) have to send in their applications via f6s.com form. When chosen, be ready to publicly present their Ideas and implementation plans and methodologies.
1.4. The Applications will be evaluated by VUNK team and Telia internal stakeholders who will decide which of the Startups will enter the following rounds of the VUNK Collaboration, and will eventually decide on the overall winner(s) of the VUNK Collaboration. Decisions of the VUNK team and Telia internal stakeholders made during the VUNK Collaboration are final and cannot be disputed.
1.5. Telia will support the winning Startups of the VUNK Collaboration with a monetary prize (“Prize”). Information on the Prize is published on the VUNK Collaboration website.
2.1. In order to submit an request for collaboration to the VUNK Collaboration programme, a Startup must fill in an application on website: https://www.f6s.com/vunkbytelia.
2.2. By submitting a Request for Collaboration and agreeing to these conditions, the Startup gives its consent to Telia for processing the Startups's data for the evaluation of the information presented, for forwarding the information to the body of stakeholders and to Telia’s VUNK Collaboration partners, for the identification of the submitters of the best Application and the winner, and for awarding the Prize.
2.3. In addition to clause 2.2, the Startup grants its consent to Telia for publishing the names of the submitters (Co-Founders) of the best Applications and the winner, as well as a short descriptions of their Startup published in media channels (e.g. the VUNK Collaboration website) and for using this information for marketing purposes.
2.4. The Startup gives Telia the right to use the contact details submitted by the Startup Founders for contacting him/her in issues relating to the VUNK Collaboration, including the forwarding of information concerning the VUNK Collaboration to the Startup.
3. INTELLECTUAL PROPERTY RIGHTS
3.1. The submission by the Startup to the VUNK Collaboration, in connection with the Request for Collaboration, of their works protected by copyrights or other intellectual property rights (“Works”) does not imply that such copyrights or other intellectual property rights to the Works would transfer to Telia. All copyrights or other intellectual property rights to the Works will remain the property of the Startup or other relevant holders of such rights unless otherwise agreed.
3.2. If the implementation of the Collaboration is based on Telias’s technologies and/or products offered on the market or constitutes development of such technologies and/or products, the ownership of copyrights or other intellectual property rights to the Works will be solved by separate agreement between the parties.
3.3. By submitting Works to the VUNK Collaboration, the Startup grants to Telia a free non-exclusive licence for using all the Works submitted by the Startup to the Competition for the purposes listed in clauses 2.2 and 2.3 herein.
3.4. The Startup represents and warrants that if the Idea submitted by the Startup or the related Works or their use violate the rights of third parties, the Startup undertakes to solve such disputes and complaints independently and at the Startup’s own expense. If any claims for damage are filed against Telia as a result of the Idea, the related Works or their use, the Startup undertakes to compensate Telia for the relevant damage and other expenses arising from such claims (e.g. legal costs).
3.5. The Startup undertakes to independently take the necessary measures if the Startup wishes to protect the intellectual property related to the Works submitted by the Startup for the VUNK Collaboration (file trademark or patent applicants, etc.).
3.6. Telia shall not be responsible for any damage that may arise from the illegitimate use by third parties of the intellectual property related to the Work submitted for the VUNK Collaboration and thus disclosed.
3.7. If the Startup discontinues implementing the Idea during participation in or after the end of the VUNK Collaboration, Telia shall have the right of first refusal to the copyrights or other intellectual property rights to the Works related to the Idea and thereby reserves the right to implement the Idea.
4.1. By submitting an Idea for the VUNK Collaboration, the Startup Founder confirms the accuracy of the data submitted by him/her, his/her wish to participate in the VUNK Collaboration and his/her consent to all the conditions established by Telia for the VUNK Collaboration.
4.2. In order to specify the circumstances related to participation in the VUNK Collaboration and also if this is required by amendments in legislation or case-law, a decision of a state institution, an injunction or a court judgement that has entered into force, Telia may amend the conditions of the VUNK Collaboration, the VUNK Collaboration website, its content, menu structures, functionalities and logic of use, instructions, etc. at any time without prior notice to the Startup. If the Startup does not agree to the amendments, it shall waive its participation in the further process of the VUNK Collaboration. If the Startup continues to participate in the further process of the VUNK Collaboration, it shall be deemed as consent to the amendments.
4.3. Telia shall not compensate the Startup for any costs or damages related to the submission of Ideas and participation at any stage of the VUNK Collaboration.
